GCO Network Member Agreement

This Member Agreement (the "Agreement") is between Guaranteed Cash Offer ("GCO," "we," "us") and the real estate investor or licensed real estate agent who applies to join the GCO Network ("Member," "you"). By checking the acceptance box on our application, clicking to pay, or signing below, you agree to these terms.
1. What the GCO Network is
1.1 GCO operates GuaranteedCashOffer.com, where homeowners ("Sellers") request cash offers and information about selling their property. GCO shares those requests ("Leads") with Members who serve the Seller's area.
1.2 Investor Members receive Leads so they can contact the Seller and, if both agree, make an offer to buy the property. Agent Members receive Leads so they can give the Seller a listing estimate and, if the Seller chooses, represent the Seller in a sale.
1.3 GCO provides Leads, an online member portal, and related software. GCO does not buy or sell property on your behalf, does not supervise your business, and does not guarantee that any Seller will sell to you.
2. Membership plans and fees
2.1 Monthly dues. You pay the monthly dues for the plan you choose, as shown on the GCO website when you join: Agent ($149 per month), Investor ($499 per month) or Investor Pro ($999 per month). Founding members who join during the founding period receive 20% off monthly dues for their first 12 months.
2.2 Market Boost (optional). You may add Market Boost for $500 per calendar quarter. GCO spends 100% of Market Boost fees on advertising to attract Sellers in your selected area during that quarter, and Members with Market Boost receive priority among Members of the same plan when Leads from that area are routed. Market Boost is optional and is never required to join or to receive Leads.
2.3 Closing fees. In addition to dues, you pay the closing fees described in Section 5 when a transaction from a GCO Lead closes.
2.4 Billing. Dues and Market Boost are billed in advance through GCO's payment processor and renew automatically each month or quarter until you cancel. You authorize GCO to charge your payment method on file. Prices may change with at least 30 days' written notice; changes apply from your next billing period.
2.5 Taxes. Fees do not include any sales or similar taxes, which you will pay if they apply.
3. Leads
3.1 Routing. Each Lead is sent to up to three Investor Members and one Agent Member whose service area includes the property's ZIP code. GCO sets routing rules, which may consider plan, Market Boost, responsiveness, and how recently you received a Lead. GCO may change routing rules at any time.
3.2 Seats, not territories. GCO limits the number of Members per metro area. This limit is a business practice, not an exclusive territory or a license. GCO may adjust service areas and seat limits.
3.3 No guarantee. Lead volume, quality, and outcomes vary. GCO does not promise any number of Leads, any number of closings, or any level of income or profit. Past results of GCO or any Member do not predict your results.
3.4 Unmatched Leads. If no Member covers a Lead's area, GCO may handle it as it chooses, including referring it to a non-member.
4. Your obligations
You agree to:
- Contact each Seller you receive within 24 hours, and treat every Seller honestly and respectfully. No pressure tactics, harassment, or misleading statements.
- Follow all laws that apply to you, including real estate licensing laws, fair housing laws, consumer protection laws, laws on wholesaling and assignment of contracts, and telemarketing, texting and do-not-call laws (including honoring every opt-out request immediately).
- Use Leads only to work with that Seller on that property. Do not sell, share, or resell Leads, and do not add Sellers to marketing lists.
- Keep Seller information confidential and reasonably secure, and delete it when the Seller asks or when you no longer need it.
- Update each Lead's status in the member portal, and tell GCO within two business days after you sign a contract to buy or list a property from a Lead.
- Not represent yourself as GCO or as its employee or agent. You may say you are "a member of the GCO Network." You may not use GCO's name or logo in your own advertising without written permission.
- Agent Members: keep your real estate license active and in good standing, and keep your managing broker informed of this Agreement.
5. Closing fees
5.1 Investor purchase fee. If you, or any person or entity you control, are affiliated with, or assign the contract to, buy or acquire any interest in a property within 12 months after GCO first sent you the Lead for that property, you will pay GCO a fee equal to 2% of the purchase price, with a minimum of $2,500. This includes wholesale and assignment transactions, where the fee is based on the price paid by the end buyer. The fee is due at closing and you will have it paid through the closing statement when the closing agent permits, or otherwise within five business days after closing.
5.2 Agent referral fee. If you, or another agent at your brokerage, list or sell a property for a Seller from a Lead within 12 months after GCO first sent you the Lead, your brokerage will pay a referral fee equal to 25% of the gross commission earned on that transaction to Ansley Real Estate | Christie's International Real Estate, the referring brokerage. Referral fees are paid broker to broker only, under the Referral Agreement in Exhibit A. GCO emails the Referral Agreement to you and your managing broker when you sign up, and your managing broker must sign it before you receive Leads.
5.3 Reporting and records. You will give GCO a copy of the final closing statement within five business days after closing. GCO may review your records for transactions involving Leads once per year on reasonable notice.
5.4 Late payment. Fees not paid within 15 days after they are due may be charged to your payment method on file, may accrue interest at 1.5% per month (or the highest rate allowed by law, if lower), and may result in suspension.
5.5 Survival. Your duty to pay closing fees for Leads you received continues for 12 months after this Agreement ends.
6. Independent businesses
6.1 You and GCO are independent contractors. Nothing in this Agreement creates an employment, partnership, joint venture, agency, or fiduciary relationship.
6.2 Not a franchise. GCO does not license its trademark to you, does not prescribe a marketing plan or system for your business, and does not provide significant assistance with or control over your methods of operation. You run your business under your own name and make all of your own business decisions. You are buying access to Leads and software, not a franchise or business opportunity.
6.3 You are solely responsible for your offers, contracts, disclosures, licensing, taxes, and the conduct of your employees and contractors.
7. Term, cancellation and suspension
7.1 Membership is month to month. You may cancel at any time in writing (email is fine) before your next billing date, and you will not be charged again. Market Boost may be cancelled before the next quarter begins.
7.2 GCO may suspend or end your membership immediately if you breach this Agreement, harm or mislead a Seller, fail to pay fees, or let a required license lapse. GCO may also end any membership for any reason with 30 days' notice.
7.3 Refunds. Dues are not refundable for partial months. Market Boost fees are not refundable once the quarter has begun, because they are committed to advertising. If GCO ends your membership without cause, GCO will refund prepaid dues and unspent Market Boost fees for the remaining period.
8. Disclaimers and liability
8.1 The GCO Network, Leads, and software are provided "as is." GCO does not verify Seller information and makes no warranty about any Seller, property, title, or transaction.
8.2 To the fullest extent the law allows, GCO is not liable for lost profits or for indirect, incidental, special, or consequential damages, and GCO's total liability under this Agreement is limited to the fees you paid GCO in the three months before the claim arose.
8.3 You will defend and indemnify GCO against claims, losses, fines, and costs (including reasonable attorneys' fees) arising from your dealings with any Seller, your breach of this Agreement, or your violation of any law.
9. General
9.1 Governing law. Georgia law governs this Agreement. Any dispute will be brought in the state or federal courts serving Fulton County, Georgia, and both parties consent to their jurisdiction.
9.2 Changes. GCO may update this Agreement with at least 30 days' notice by email. If you keep your membership after the change takes effect, the updated Agreement applies.
9.3 Entire agreement. This Agreement, including its exhibits and the plan details you accepted at sign-up, is the entire agreement between you and GCO about the GCO Network. If any part is unenforceable, the rest stays in effect.
9.4 Electronic acceptance. Accepting online or signing electronically has the same effect as a handwritten signature. GCO keeps a record of the date, time, and version you accepted.
9.5 Notices. Notices to GCO go to wesley@guaranteedcashoffer.com. Notices to you go to the email address on your membership.
Exhibit A: Broker-to-Broker Referral Agreement (Agent Members)
This Referral Agreement is between Ansley Real Estate | Christie's International Real Estate, 31 Church St., Alpharetta, GA 30009, through its associate broker Wesley Harper (the "Referring Broker"), and the brokerage named below (the "Receiving Broker"), for referrals made through the GCO Network to the Receiving Broker's agent named below.
- Referrals. The Referring Broker may refer prospective Sellers to the Receiving Broker's agent through the GCO Network.
- Referral fee. For each referred Seller who lists or sells a property through the Receiving Broker within 12 months after the referral, the Receiving Broker will pay the Referring Broker 25% of the gross commission received by the Receiving Broker on that transaction.
- Payment. The referral fee is payable to Ansley Real Estate | Christie's International Real Estate at closing, through the closing statement where permitted, and in any case within five business days after the Receiving Broker receives its commission. Payment is made broker to broker only.
- Licensing. Each broker represents that it holds an active real estate broker license in the state where it acts and will comply with that state's license law.
- Disclosure. The referral relationship and fee will be disclosed to the Seller where required by law.
- Term. This Referral Agreement continues while the agent is a GCO Network member and for 12 months afterward for referrals already made.
